TYPES OF FOREIGN COMPANIES IN KOREA

Foreign Investment in Korea is grouped in to four major categories as outlined below. Each type depends on Company's nature of business and scope of operations.

A). FDI LOCAL CORPORATION: Foreign-Invested Companies under the Foreign Investment Promotion Act. The Foreign Investment Promotion Act and Korea's Domestic Commercial law apply to investments that an Individual Foreigner or Foreign Corporation makes by establishing a "Local Corporation" in Korea.The Amount of FDI shall be not less than 100 Million Korean Won. If two or more Foreign Nationals make a joint investment, each has to make an investment of at least 100 Million Korean Won.

B). FDI PRIVATE BUSINESS: Private Foreign-Invested Companies under the Foreign Investment Promotion Act. The Foreign Investment Promotion Act and Korea's Domestic Commercial laws apply to investments that an Individual Foreigner makes by establishing a "Local Corporation" in Korea.The Amount of FDI shall be not less than 100 Million Korean Won. The difference between Local Corporation and Private Business is that a private business does not require the registration of incorporation.

C). DOMESTIC BRANCH OF A FOREIGN COMPANY: Under the Foreign Exchange Transactions Act. The Domestic Branch of a Foreign Company is governed by the Foreign Exchange Transactions Act and does not benefit from Government Incentives as FDIs do. The head office and the branches are of a single entity where consolidated accounting & settlement is required.The Minimum Investmen Capital for a Domestic Branch shall be not less than 100 Million Korean Won.

D). LIAISON OFFICE OF A FOREIGN COMPANY: A Liaison Office of a Freign Company cannot be involved in any sort of revenue generating activities such as direct sales, after-sales services etc. Its activities are limited to research and development. It is regarded simply as a contact office.
